- Business Setup Services: Company formation, registration, and licensing in UAE (Free Zone, Mainland, and Offshore) and India
- Virtual CFO Services: Financial planning, cash flow management, strategic advisory, and compliance support
- Banking Assistance: Corporate bank account opening support and banking relationship management
- PRO Services: Visa processing, license renewals, government liaison, and documentation services
- Accounting & Bookkeeping: Monthly bookkeeping, VAT filing, financial reporting, and audit support
- Consulting Services: Business advisory, market entry strategies, and corporate structuring
2.2 Service Limitations
We do not provide:
- Legal advice or legal representation (we recommend qualified lawyers for legal matters)
- Tax advice (we recommend certified tax consultants for complex tax matters)
- Audit services (we work with licensed audit firms when required)
- Immigration advice beyond business visa processing
- Guarantees of specific outcomes from government authorities
3. Client Obligations
3.1 Information Accuracy
You agree to:
- Provide accurate, complete, and current information
- Update us promptly of any changes to your information
- Ensure all documents and information provided are genuine and legally obtained
- Not misrepresent your identity, business activities, or intentions
3.2 Cooperation and Communication
You agree to:
- Respond promptly to our requests for information or documentation
- Attend meetings and provide signatures when required
- Maintain regular communication throughout the service period
- Inform us of any issues or concerns in a timely manner
3.3 Compliance with Laws
You agree to:
- Comply with all applicable UAE laws and regulations
- Use our services only for legal and legitimate business purposes
- Not engage in any illegal activities or money laundering
- Maintain all necessary licenses and permits for your business operations
4. Fees and Payment Terms
4.1 Service Fees
Our fees are quoted based on:
- The specific services requested
- The complexity and scope of work
- Government fees and third-party costs (charged separately)
- Applicable Value Added Tax (VAT) as per UAE Federal Tax Authority regulations

4.3 Payment Methods
We accept the following payment methods:
- Bank transfer (preferred method)
- Credit/Debit cards (subject to processing fees)
- Cheques (UAE banks only, subject to clearance)
- Cash (for amounts below AED 55,000 as per UAE regulations)
4.4 Late Payment
In case of late payment:
- Services may be suspended until payment is received
- Interest may be charged at 2% per month on overdue amounts
- We reserve the right to terminate services after 30 days of non-payment
- You remain liable for all fees incurred up to termination date
4.5 Government and Third-Party Fees
The following are not included in our service fees and will be charged separately:
- Government registration and licensing fees
- Visa application and processing fees
- Office lease and ejari registration costs
- Bank account opening charges
- Translation and attestation fees
- Courier and logistics charges
5. Cancellation and Refund Policy
5.1 Client-Initiated Cancellation
If you cancel services:
- Before Work Commences: Full refund minus administrative charges (10% or AED 500, whichever is higher)
- After Work Commences: Refund of unused portion minus work completed, administrative charges, and non-refundable government fees
- After Submission to Authorities: No refund for government fees; service fees refundable only for work not yet performed
5.2 Company-Initiated Termination
We may terminate services if:
- You breach these Terms or engage in illegal activities
- You fail to provide required documentation or information
- You fail to make payments as agreed
- We are unable to obtain necessary approvals due to your circumstances
- We determine that continuing the engagement would violate laws or regulations
5.3 Non-Refundable Items
The following are non-refundable under all circumstances:
- Government fees paid to authorities
- Third-party charges (translation, attestation, courier)
- Bank charges and processing fees
- Costs incurred for work already performed
6. Service Timeline and Delivery
6.1 Estimated Timeframes
Service completion times are estimates based on typical processing and depend on:
- Prompt provision of required documents and information by you
- Processing times of government authorities and third parties
- Complexity of your specific case
- Public holidays and authority working schedules
6.2 Delays
We are not liable for delays caused by:
- Government authorities or their processing times
- Incomplete or incorrect documentation provided by you
- Changes in laws, regulations, or government procedures
- Force majeure events (see Section 12)
- Delays by third-party service providers
Important: While we strive to meet estimated timelines, they are not guarantees. Actual delivery times may vary based on circumstances beyond our control.
7. Confidentiality and Data Protection
7.1 Confidential Information
We agree to:
- Maintain strict confidentiality of your business information
- Not disclose your information to third parties without consent (except as legally required)
- Use your information only for providing our services
- Implement appropriate security measures to protect your data
7.2 Data Protection Compliance

7.3 Exceptions to Confidentiality

- The total fees paid by you for the specific service in question, or
- AED 50,000, whichever is lower

- Loss of profits, revenue, or business opportunities

- Reputational damage
- Damages resulting from third-party actions or government decisions
Important Limitation: This limitation of liability applies to the fullest extent permitted under UAE law and does not affect your statutory rights as a consumer.

- Warranties of merchantability or fitness for a particular purpose
- Guarantees of specific results or outcomes
- Responsibility for third-party actions or decisions
- Liability for information obtained from third-party sources
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your breach of these Terms
- Your violation of any laws or regulations
- Inaccurate or false information provided by you
- Your business operations and activities
- Third-party claims related to your use of our services
- Any illegal or fraudulent activities conducted by you
12. Force Majeure
We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including:
- Natural disasters, pandemics, or public health emergencies
- Government actions, law changes, or regulatory changes
- War, terrorism, civil unrest, or political instability
- Strikes, labor disputes, or supply chain disruptions
- Technology failures or cyber-attacks
- Utility failures or infrastructure breakdowns
In such events, we will make reasonable efforts to resume services as soon as practicable.
13. Anti-Money Laundering and Compliance
13.1 KYC Requirements
In compliance with UAE Anti-Money Laundering laws, we are required to:
- Verify your identity through official documents
- Understand the nature and purpose of your business
- Conduct ongoing due diligence
- Report suspicious transactions to relevant authorities
13.2 Right to Refuse Service
We reserve the right to refuse services if:
- We cannot verify your identity or business legitimacy
- We suspect money laundering or terrorist financing
- You are on sanctions lists or watchlists
- Your business activities appear illegal or unethical
- We cannot obtain satisfactory due diligence information
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically:
- UAE Federal Law No. 5 of 1985 (Civil Transactions Law)
- UAE Commercial Companies Law
- UAE Free Zone Regulations (where applicable)
- Other applicable UAE federal and emirate laws
14.2 Dispute Resolution Process
In case of disputes, we agree to the following resolution process:
- Negotiation: We will first attempt to resolve disputes through good-faith negotiations within 15 business days
- Mediation: If negotiation fails, disputes will be referred to mediation at the Dubai International Arbitration Centre (DIAC) or another mutually agreed mediator
- Arbitration: If mediation is unsuccessful, disputes shall be finally resolved by arbitration under the DIAC Arbitration Rules

- Language: English and Arabic
- Number of Arbitrators: One arbitrator for disputes under AED 500,000; three arbitrators for larger disputes
- Arbitration Costs: As determined by the arbitration tribunal

Subject to the arbitration clause above, the courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over any disputes arising from these Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and us regarding the use of our services.
15.2 Amendments
We may modify these Terms at any time by:
- Posting updated Terms on our website
- Notifying existing clients via email
- Providing 30 days' notice for material changes
Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
15.3 Severability
If any provision of these Terms is found to be invalid or unenforceable under UAE law, the remaining provisions shall remain in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
